This Scantime Partner Agreement (the “Agreement”) is between you (“Partner”) and Scantime Limited (“Scantime”, “we”, “us”, or “our”). By joining the Scantime Partner Programme, you agree to the terms outlined in this Agreement.

1. Joining the Scantime Partner Programme

To join the Scantime Partner Programme, you must:

• Complete the application process and meet our eligibility criteria.
• Be approved by Scantime to participate in the programme.

Once approved, you will gain access to the benefits and resources outlined in this Agreement.

2. Partnership Prerequisites

To ensure a successful partnership, you must meet and maintain the following prerequisites:

Eligibility Criteria

The Scantime Partner Programme is open to:

1. Wholesale Distributors:
   • Businesses that distribute products or services to engineering and manufacturing industries.
   • Must have an established client base in the UK.

2. Training Providers:

1. • Organisations that deliver training or educational services, such as apprenticeships, certifications, or professional development courses.
   • Must have experience in delivering training to engineering, manufacturing, or related industries.

3. Other Eligible Organisations:

1. • Professional associations, consultancies, or businesses focused on workforce development in engineering and manufacturing.
   • Must demonstrate a commitment to promoting high-quality training solutions.

Business Registration

• Be a legally registered business in the UK.
• Provide a valid company registration number or equivalent documentation during the application process.

Industry Alignment

• Operate in or serve the engineering, manufacturing, or related industries.
• Demonstrate an understanding of the training needs within these sectors.

Scantime Advisor Certification

• At least one staff member from your organisation must commit to completing the Scantime Advisor Certification within 30 days of joining the programme.
• Certification must be renewed annually to maintain your partnership status.

Commitment to Quality

• Agree to uphold Scantime’s standards for delivering high-quality training solutions.
• Commit to representing Scantime’s brand and courses professionally.

Credit Account Standing

• Maintain your credit account with Scantime in good standing by ensuring timely payment of any invoices or fees.

Failure to meet these prerequisites may result in suspension or termination of your partnership status.

3. Duration of the Partner Agreement

This Agreement begins on the date you are approved as a Scantime Partner and will continue until terminated by either party in accordance with Section 8 (Termination).

4. Partner Status and Points Guide

Your Partner status is determined by the points you earn through the Scantime Partner Programme. Points are awarded based on your engagement with Scantime, including course sales and other qualifying activities.

How to Earn Points

• Course Sales: Earn points for every Scantime course sold through your organisation.
• Engagement: Earn points by actively using Scantime HQ, completing certifications, and participating in Scantime events or webinars.
• Client Management: Earn points for managing client bookings and maintaining active client relationships.

Things to Note

• Points are awarded per course sold or activity completed and cannot be transferred or redeemed for cash.
• Points are calculated based on active participation in the programme.
• At least one member of your team must hold a current Scantime Advisor Certification to maintain your Partner benefits.
• Scantime reserves the right to adjust or revoke points in cases of misuse or non-compliance with this Agreement.

5. Partner Benefits

As a Scantime Partner, you will have access to:

• The Scantime Partner Badge to showcase your status.
• Scantime HQ for managing bookings, tracking points, and accessing resources.
• Tiered discounts on Scantime training courses, starting at 5% and increasing as you progress through the programme.
• Priority support and a dedicated Account Manager.
• Performance-based incentives, bonuses, and other rewards.

The specific benefits available to you will depend on your status level (Partner, Bronze, Silver, or Gold).

6. Course Bookings

All courses booked through the Scantime Partner Programme are subject to Scantime’s Hands-on Course Terms and Conditions, which can be found here: https://www.scantime.co.uk/hands-on-course-terms-and-conditions/.

7. Use of Scantime Materials

We grant you a non-exclusive, revocable license to use Scantime’s marketing materials, resources, and branding assets solely for the purpose of promoting Scantime’s training solutions. You may not modify, distribute, or use these materials for any other purpose without our prior written consent.

8. Termination

This Agreement may be terminated as follows:

• By You: You may terminate this Agreement at any time by providing 30 days’ written notice to Scantime.
• By Scantime: We may terminate this Agreement immediately if you breach its terms or if we determine that your participation in the programme is no longer appropriate.

Upon termination, you must stop using all Scantime branding, materials, and resources.

9. Indemnity

You agree to indemnify and hold Scantime harmless from any claims, damages, or losses arising from:

• Your breach of this Agreement.
• Your misuse of Scantime’s materials or resources.
• Any actions or omissions by you or your organisation that result in harm to Scantime’s reputation or business.

10. Limitation of Liability

To the maximum extent permitted by law, Scantime will not be liable for any indirect, incidental, or consequential damages arising from your participation in the Scantime Partner Programme.

11. Confidentiality

You agree to keep all non-public information about Scantime, including programme details, pricing, and resources, confidential and not disclose it to any third party without our prior written consent.

12. Changes to the Agreement

Scantime reserves the right to update or modify this Agreement at any time. We will notify you of any significant changes, and your continued participation in the programme will constitute acceptance of the updated terms.

Acceptance of Terms

By joining the Scantime Partner Programme, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
